Please read these Terms of Service carefully before using Planalyze. By creating an account or using the service, you agree to be bound by these terms. If you do not agree, do not use Planalyze.

1. About Planalyze

Planalyze is a cloud-based visual modeling and portfolio management platform operated by Quasar Pacific Consulting Limited ("we", "us", "our"), a company registered in New Zealand. The service is accessible at https://planalyze.digital.

2. Eligibility

To use Planalyze, you must be at least 13 years of age. If you are using the service on behalf of a business or organization, you represent and warrant that you have authority to bind that entity to these terms.

3. Your Account

You may sign in to Planalyze using your Google account or by creating an account with your email address and password. You are responsible for:

• Keeping your account credentials secure.
• All activity that occurs under your account.
• Notifying us promptly if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these terms.

4. Acceptable Use

You agree to use Planalyze only for lawful purposes and in accordance with these terms. You must not:

• Use the service in any way that violates applicable laws or regulations.
• Upload, post, or transmit content that is unlawful, harmful, offensive, or infringes the rights of others.
• Attempt to gain unauthorized access to any part of the service or its related systems.
• Reverse engineer, decompile, or disassemble any part of the platform.
• Use automated tools to scrape, crawl, or extract data from the service without our prior written consent.
• Introduce viruses, malware, or other harmful code.
• Use the service to transmit unsolicited commercial communications.

5. Your Content

You retain ownership of all content you create within Planalyze, including portfolios, models, metamodels, diagrams, and other modeling artifacts ("Your Content"). By using the service, you grant us a limited license to host, store, and display Your Content solely for the purpose of providing the service to you.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. We do not claim ownership of Your Content and will not share it with third parties except as described in our Privacy Policy.

Planalyze provides a built-in data export feature that allows you to download Your Content at any time in a portable format.

6. Our Intellectual Property

All intellectual property rights in Planalyze, including its software, design, features, logos, and documentation, belong to Quasar Pacific Consulting Limited or its licensors. These terms do not grant you any rights to our intellectual property beyond the limited right to use the service as described herein.

7. Third-Party Services

Planalyze relies on third-party infrastructure providers to deliver the service, including Google Cloud Platform (hosting and authentication), MongoDB Atlas (data storage), and Resend (transactional email delivery). Your use of Google's authentication services is governed by Google's own Terms of Service and Privacy Policy. We are not responsible for the practices of third-party services.

8. Service Availability

We aim to provide a reliable and high-quality service, but we do not guarantee that Planalyze will be available at all times or free from errors. We may perform maintenance, updates, or changes to the service at any time, with or without notice.

We will endeavor to provide advance notice of significant planned maintenance where practicable.

9. Disclaimer of Warranties

Planalyze is provided "as is" and "as available" without warranties of any kind, either express or implied. To the maximum extent permitted by law, Quasar Pacific Consulting Limited disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Quasar Pacific Consulting Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Planalyze, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from your use of the service shall not exceed the amount you paid us (if any) in the twelve months preceding the claim.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including the New Zealand Consumer Guarantees Act 1993 (where applicable to consumers).

11. Indemnification

You agree to indemnify and hold harmless Quasar Pacific Consulting Limited, its directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of Planalyze or your violation of these terms.

12. Termination

You may stop using Planalyze at any time by closing your account.

We may suspend or terminate your access to Planalyze at any time, with or without cause, and with or without notice, including if we believe you have violated these terms. Upon termination, your right to use the service ceases immediately.

Provisions of these terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and governing law.

13. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will notify you by email or by displaying a prominent notice within the application. Your continued use of Planalyze after the effective date of any changes constitutes your acceptance of the revised terms.

14. Governing Law and Disputes

These terms are governed by the laws of New Zealand. Any disputes arising from these terms or your use of Planalyze shall be subject to the exclusive jurisdiction of the courts of New Zealand, without regard to conflict of law principles.
